Memolinx Terms and Conditions

1. Eligibility

• You must be at least 13 years old (or the minimum legal age in your jurisdiction).
• If you are under 18, you must have parental or guardian consent.
• By using the Platform, you represent that you can legally enter into this agreement.

2. Accounts

• Keep your credentials confidential and secure.
• You’re responsible for activity on your account.
• We may suspend or terminate accounts that violate these Terms.

3. Content on Memolinx

a. Types of Content

• Moments – Single captured events with media, metadata, and location.
• Memories – Sequences of media tied to a time range and location.
• Events – Real events or categories containing Moments and Memories.
• Stories – Collections of Events, Moments, or Memories.
• Collections – Curated lists of Moments, Stories, and Events.

b. Ownership

• You retain ownership of your content ("User Content").
• By posting, you grant Memolinx a non-exclusive, royalty-free, worldwide license to host, store, display, and distribute your content per your privacy settings.
• This license ends when you delete content, except for reasonable copies kept for backups, legal compliance, or platform integrity.

c. Privacy & Access Levels

For Moments, Memories, Events, Stories, and Collections, you can choose:

1. Private – Only you.
2. Shared with specific users – Only invited users.
3. Shared with followers – All your followers.
4. Public – All users, including visitors without accounts.

4. User Responsibilities

You agree not to:

• Upload illegal, harmful, hateful, infringing, or explicit content.
• Misuse tagging, locations, or metadata.
• Interfere with or disrupt the Platform.
• Collect or harvest data without permission.

You’re responsible for your content and interactions.

Zero Tolerance for Objectionable Content & Abusive Users

Memolinx has zero tolerance for objectionable content and abusive behavior. Objectionable content includes, without limitation, content that is unlawful, hateful, harassing, threatening, defamatory, sexually explicit, pornographic, violent, or that promotes discrimination, self-harm, or exploitation of any person. Posting such content, or harassing, bullying, impersonating, or abusing other users, is strictly prohibited.

• Flag/report: You can report any Moment, Memory, Event, comment, message, or user you believe violates these Terms directly within the app.
• Block: You can block any user. Blocking removes that user’s content from your experience immediately and prevents further contact.
• Filtering: Memolinx applies automated filtering to user-submitted text to help detect and prevent objectionable content.
• Enforcement: We review reports and act on objectionable content within 24 hours by removing the content and suspending or terminating (ejecting) the responsible user’s account. This is in addition to any other rights or remedies available to us.

5. Contributors & Interactions

• You may invite contributors to collaborate on Moments, Memories, Events, Stories, or Collections.
• Contributors must follow these Terms and retain rights to their contributions.
• Reactions, comments, and discussions must remain respectful; hate speech, harassment, spam, and abuse are prohibited.

6. Search & Discovery

• Search and filtering by keywords, time, location, contributors, and privacy level.
• Map-based browsing and timeline navigation.
• Public content may appear in global search and explore features.

7. Virtual Locations

• Users may create virtual locations and hierarchies.
• Virtual locations must not impersonate real entities, infringe trademarks, or mislead users.

8. Intellectual Property

• Only post content you own or have rights to share.
• Respect copyrights, trademarks, and other rights.
• We may remove infringing content and suspend repeat infringers.

9. Advertising & Monetization

• Memolinx may display location-, keyword-, or demographic-based ads.
• Ads may appear as sponsored posts on maps, in feeds, or alongside Moments, Memories, Stories, and Events.
• You may encounter affiliate promotions (e.g., Amazon Affiliates).
• Using Memolinx means you agree to the display of such ads.

10. Data & Security

• Structured data may be stored in Amazon Aurora PostgreSQL with PostGIS; media in AWS S3 / DynamoDB.
• We use security measures and caching but cannot guarantee absolute security.
• Security incidents. We maintain reasonable administrative, technical, and organizational measures to protect personal information. In the event of a data breach or security incident, and to the maximum extent permitted by applicable law, Memolinx’s obligation is limited to investigating the incident, improving its security, and remediating the identified vulnerabilities; Memolinx is not liable for damages arising from a breach. Nothing in this section limits any rights you have under mandatory applicable law (including any statutory breach-notification rights, which we will honor as required).
• By using Memolinx, you consent to storage, processing, and transfer of your data as outlined in our Privacy Policy.

11. Termination

• You may delete your account at any time.
• We may suspend or terminate your account for violations or harmful activity.
• Provisions on ownership, licenses, disclaimers, indemnities, and limitations survive termination.

12. Disclaimers

• Memolinx is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory.
• We do not guarantee uninterrupted, error-free service or permanent data availability.
• Not a backup service. Memolinx is a social and content-sharing platform, not a backup, archival, or storage service. You must not rely on Memolinx as the sole or primary copy of your photos, videos, or other content, and you are responsible for maintaining your own independent backups. To the maximum extent permitted by applicable law, Memolinx is not liable for any loss, deletion, corruption, or unavailability of content uploaded to the Platform.
• We are not responsible for user content, third-party links, or external interactions.

13. Limitation of Liability

To the maximum extent permitted by law:

• Memolinx is not liable for any damages (direct, indirect, incidental, consequential) arising from your use of the Platform.
• You are responsible for your interactions and content.

14. Indemnification

You agree to indemnify and hold harmless Memolinx, its affiliates, employees, and partners from claims, damages, or expenses arising from your use of the Platform or your violation of these Terms.

15. Changes to These Terms

• We may update these Terms from time to time.
• Continued use after changes take effect constitutes acceptance.

16. Governing Law

• These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles.
• Disputes will be resolved in the courts of San Diego County, California.

17. App Stores & Third-Party Platforms

• If you download the Memolinx app from a third-party app store or platform (such as the Apple App Store or Google Play), these Terms are between you and Memolinx only, and not with the app store provider.
• The app store provider is not responsible for the app or its content and has no obligation to furnish any maintenance or support services for it.
• Apple Inc. and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, have the right to enforce these Terms against you. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country, and that you are not on any U.S. Government list of prohibited or restricted parties.
• Your use of the app must also comply with the applicable app store’s terms of service.

18. Mandatory Local Law

Nothing in these Terms limits or excludes any rights or remedies you may have under mandatory consumer- protection or data-protection laws in your country or region that cannot be lawfully limited or excluded. Where any provision of these Terms conflicts with such mandatory law, that provision applies only to the fullest extent permitted, and the mandatory law prevails.

19. General Provisions

• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
• Entire Agreement: These Terms and the Privacy Policy are the entire agreement between you and Memolinx regarding the Platform.
• No Waiver: Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
